Terms of Service

These Terms of Service ("Terms") govern your use of the GRIOMED software-as-a-service platform ("Service") operated by GRIOMED Technologies Pvt. Ltd. ("we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & Account

You must be (a) at least 18 years old, (b) operating a licensed retail pharmacy in India holding a valid drug licence under the Drugs and Cosmetics Act, 1940, and (c) authorised to bind your pharmacy entity. You are responsible for safeguarding your credentials and for all activity under your account.

2. Service & subscriptions

The Service is provided on a subscription basis. Plan details, pricing, billing cycle and trial periods are shown on the pricing page at the time of purchase. Subscriptions auto-renew at the end of each cycle unless cancelled before renewal.

3. Acceptable use

You agree not to: (a) violate any applicable law including Schedule H1 / X and narcotic drug regulations, (b) attempt to reverse-engineer, scrape, or disrupt the Service, (c) upload malware or unlawful content, (d) use the Service to issue false invoices or to evade tax. We may suspend accounts on reasonable suspicion of violation, with notice where possible.

4. Your data

You retain ownership of all data you upload (master records, transactions, prescriptions, customer details). We act as a processor on your behalf as detailed in our Privacy Policy and DPDP Compliance notice. You may export your data at any time from Settings → Export.

5. Payments & taxes

Subscription fees are quoted in INR and inclusive / exclusive of GST as indicated. Failed payments enter a grace period of 7 days, followed by suspension. We do not store full card details — payment processing is handled by Razorpay (PCI-DSS L1).

6. Service availability

We target 99.5% monthly uptime, measured excluding scheduled maintenance windows. Maintenance is announced at least 24 hours in advance via email. We are not liable for downtime caused by force majeure, third-party providers (cloud, payment, SMS, GSP), or your own internet/hardware failures.

7. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of the Service is limited to the subscription fees paid by you in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential or punitive damages including lost profits or loss of goodwill.

8. Termination

Either party may terminate the subscription at the end of the then-current billing cycle. We may terminate immediately for material breach. Upon termination, your data is retained for 30 days for export, then permanently deleted, except where retention is required by law (e.g. tax records).

9. Governing law

These Terms are governed by the laws of India. Courts at Bengaluru, Karnataka have exclusive jurisdiction.

10. Changes

We may update these Terms from time to time. Material changes will be notified by email at least 30 days in advance. Continued use after the effective date constitutes acceptance.
